FANKLUB Terms

FANKLUB (hereinafter referred to as the “FANKLUB”) is a feature of KKBOX, which requires you to register/log in KKBOX before using FANKLUB. You must also agree to and comply with KKBOX’s “Terms of Use” and “Privacy Policy” before using FANKLUB.

FANKLUB is provided by specific entities (hereinafter referred to as “We”, “Us”, “Our” and “Ours”) in accordance with these FANKLUB Terms (hereinafter referred to as the "Terms") to you. By accessing and/or using FANKLUB, you are deemed to have read, understood, consented and agreed to accept all the content stated in these Terms. These Terms form an effective and enforceable contract between you and Us. If you do not agree to be bound by any of the content in the Terms, do not access this Feature.

FANKLUB is available to all members and is not a "kid-only" feature; If you are a minor, you should make sure that your parents (or guardians) read, understand and agree to comply with these Terms in full before you start using FANKLUB. If you continue accessing and/or using FANKLUB after these Terms have been modified, it is deemed that you and your parents (or guardians) have read, understood, and agreed to accept the revised Terms.

• Definition
  • “Artist” means an individual or company that has entered into an agreement with Us and provides the content. Artists can create pages, publish content, or provide membership-related commercial services in this function.
  • “Artist Content” means games, information, communications, merchandise, text, photos, videos, pictures, music, audio recordings and/or other items provided by the Artist through FANKLUB, whether tangible or not, are Artist Content.
  • “Content” means games, information, communications, products, text, photos, videos, pictures, music, audio recordings and/or other items displayed in this feature, including member content and artist content.
  • “FANKLUB” means an online platform provided by Us through website and/or mobile application (APP) (subject to the update made by Us) for interaction and communication between Artists and Users. Various services may be delivered via FANKLUB, and you agree that We have the right to add, delete or update such services, and that no matter how the services are changed, it will not affect the agreement between you and Us under these Terms.
  • “Member” means a User who has completed the membership registration process. The services available to Members may vary depending on membership and fees, etc. For the purpose of this Terms and without any context to the contrary, any “Member” or “Members” used under this Terms collectively refers to all types of members, regardless of whether they are paid or not, regardless of the scope of their authority.
  • “Member Account” means an online account given to a Member (together with password) upon our verification of their personal information and completion of the registration process, through which a Member can use his or her password to log in and access to FANKLUB.
  • “Member Content” means the information, communications, products, text, photographs, videos, pictures, music, audio recordings and/or other items created, provided or transmitted by the Member through FANKLUB, whether tangible or not, are Member Content.
  • “User” means all people who browse, access or use FANKLUB, regardless of whether they have completed the registration of membership. All users, not limited to natural persons, are deemed to have agreed to these Terms and continue to use FANKLUB in accordance with these Terms.
• Your responsibilities and obligations
  • Overall
    • FANKLUB is required to be used with a Member Account; However, some functions or services may be viewed or used without a Member Account. You agree that whether you are a Member or not, by browsing, accessing or using FANKLUB and Content, you are deemed to have agreed to abide by these Terms and all related policies.
    • We license you to use FANKLUB, subject to the provision of these Terms and all additional rules, policies, guidelines, instructions, terms and any instructions made by Us (collectively, the “Additional Terms”). If there is a violation, We may suspend or terminate your right to use FANKLUB without notice.
  • Member Responsibilities and Obligations

    • True Information Obligation

      While registered as a Member, you agree to provide correct, complete and factual personal information during registration. You may update your information via informed access any time. The Company is entitled to suspend or terminate your right to use FANKLUB any time should any information you provided is false, not updated, or contains any misleading contents. You shall further be liable for damages incurred by Us or any other third party in the case that information you provided is not your own information or incorrect information.

    • Member’s Account Security Obligation

      The Member Account is for personal use only, and you may only use FANKLUB and Content in accordance with these Terms. You shall not illegally reproduce, distribute, sell, publicly transmit, or otherwise hand over to a third party FANKLUB or Content for their use.

      • Your Member Account shall be used by you only. You shall only use FANKLUB and Content in accordance with the Terms and shall not allow any third party to access, unlawfully reproduce, distribute, sell, publicly transmit and/or use in any other way FANKLUB and Content.
      • You are obliged to safeguard your Member Account details, passwords and other relevant information. You shall be liable for any and all acts and/or activities, including all related fees, carried out under your Member Account.
      • If You discover any unauthorized use or unusual access to your Member Account, you should report to us immediately and protect your personal interests through appropriate legal means. If necessary, we will ask you to provide the relevant personal data and have the right to take charge of the account in dispute.
      • If your negligence or consent to any third parties’ use of your Member Account causes unlawful use of such account or passwords and damages to the interests of us or other users, you shall be responsible for the relevant legal liabilities and/or compensation to such damages.
  • Using FANKLUB
    • You may browse, transmit, publish or upload content, including but not limited to text, pictures, photos, links, images and videos via FANKLUB. You warrant that the Content you provide is original, does not infringe any others’ intellectual property right, or has obtained dule license. You are responsible for any and all consequences of the Content you transmit, publish or upload via FANKLUB. Except for the limited rights granted under these Terms, you do not acquire any other rights to the Content only because you use FANKLUB.
    • You grant us a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, transferable right, including but not limited to reproduction, adaptation, editing, display, publication, distribution, public transmission, etc., to use any and all Content you provided via FANKLUB. All published or shared Content, even being deleted afterward, shall remain licensed as above. Neither we nor any third party shall be obligated to delete it.
    • We may delete Member Content without prior notice should we receive a report that such Content infringes the intellectual property rights of others.
    • FANKLUB is for personal use only. You should obtain relevant rights from the Artist or Content provider should you attempt to use FANKLUB in public or in other public ways. Any unauthorized public use of the Content may result in disputes or legal action, and the User or Member shall indemnify us and our affiliates from any responsibilities arising out of such disputes.
    • FANKLUB is only for Members to interact with Artists. You may use FANKLUB or any part of the Content to engage in any activity, directly or indirectly, in connection with machine learning, artificial intelligence technology or related software, methods, programs or systems, including but not limited to training, development, enhancement, testing or other applications.
  • Suspension and Termination of Membership
    • Your Membership, together with your Member Account, may be suspended or permanently terminated for the following reasons:
      • Upon your application in accordance with our policy to suspend your Membership;
      • you violate the rules related to Member Account;
      • we reasonably find your violation of the law, these Terms or any Additional Terms, or we act according to authority’s instructions;
      • non-completion of the verification process after registration, non-usage of Member Account, or if we find that Member Account is being used by others than the particular Member yet without the Member’s consent, and may not confirm the ownership of such Member Account.
    • You acknowledge we may announce or update Additional Terms related to the Member Account at any time, and your Membership rights shall be bound by such Additional Terms.
    • If you voluntarily delete your Member Account, or if we deactivate or delete your Member Account, you will not be able to use FANKLUB in accordance with these Terms; However, the terms that you have licensed, authorized, represented, warranted, undertaken, or disclaimed under these Terms will not be affected by such termination.
• Prohibited Usage
  • You shall comply with these Terms, any Additional Terms that may apply, and relevant laws and regulations. You also agree to abide by all rules in FANKLUB that are instructed to you by the Artist to manage their own platform. We may process you, your Membership and Content, etc. in accordance with these Terms or Additional Terms, including but not limited to suspending or deleting your Membership, suspending or completely denying all or part of your right to use FANKLUB, blocking or deleting your Member Content, etc. You further agree that we may entrust or authorize a third party (including but not limited to Artists) to manage it.
  • You shall not engage your use of FANKLUB in the following acts:
    • Use FANKLUB to engage in any behavior that violates the rights and interests of children and teenagers, including but not limited to the dissemination of sexual images, or assisting or promoting humiliation, cyberbullying, or harassment of minors;
    • transmit or publish Content that is abusive, defamatory, harassing, bullying, infringing on the reputation of others, indecent, pornographic, violent, offensive, discriminatory, hateful, or otherwise violates the law or public order and morals;
    • publish any professional advice related to control, including but not limited to medical advertisements, medical advice, financial advice or services, legal advice, without the prior written consent of ours;
    • post any unauthorized, deceptive, or harmful impersonation, including but not limited to intentionally impersonating another person's name or identity without permission;
    • transmit or posting links to illegal information, including, but not limited to, pirated software, illegal file downloads, gun trafficking, drugs, prohibited drugs, false, criminal or other prohibited information, as well as hoax content or computer viruses;
    • engage in malicious flooding, publishing a large number of repeated messages or letters, making disturbing remarks, or abusing the reporting mechanism;
    • transmit or publish Content or any form of files that infringe on others' intellectual property rights, such as trademark rights, copyrights, patent rights, or other rights;
    • disclose personal information (including but not limited to portrait, real name, telephone number, address, etc.) or private information (such as diaries, letters, personal photos, etc.) without the consent of the person concerned;
    • phish other Member Account passwords;
    • reproduce, modify, sell, license, transfer, or exploit FANKLUB for any commercial or unlawful purpose; or transmit or publish commercial advertisement text, links or pictures without the prior written consent of us;
    • modify, reverse engineer, decode, simplify to a form understandable to the common person, disassemble, or prevent/hinder other users from using FANKLUB, and not spread viruses or other programs that may damage the operation of other people’s computers;
    • engage in any activity that may cause FANKLUB or other services, systems or products provided by us to malfunction, overload, interfere with or impair the normal operation, integrity, operation or appearance of FANKLUB;
    • use data mining, robots or other similar data gathering or retrieval tools to scrape or collect data from FANKLUB;
    • use FANKLUBs or any part of its output to research or develop products, models or services that compete with us, or otherwise compete with us;
    • use any part of FANKLUB as input data for machine learning or AI model training;
    • make false reports or objections;
    • any other act that we deem in violation of these Terms, Additional Terms, or other inappropriate acts.
  • The Content you access shall be restricted in accordance with its license and relevant laws and regulations, and shall not infringe rights and interests of any third party. The following acts shall not be carried out:
    • unauthorized use of the Content;
    • upload, transmit, or transmit Content without authorization;
    • use the Content for news, advertising, or other commercial purposes without the prior written consent from us.
  • Member Content must not contain:
    • The password of your Member Account or other’s password known to you;
    • insults, defames, slanders, or otherwise infringes rights and interests of ours or third parties’ (including Artists and any other third parties);
    • false, incorrect or misleading content;
    • infringes on the copyright, trademark, trade secret, patent or other proprietary or privacy rights of others;
    • violates public order and morals (including obscenity, sexual innuendo, abuse, obscenity, vulgarity, violence and nudity, etc.);
    • may cause persistent fear or anxiety in others;
    • involving acts prohibited by law (including fraud, fraud, etc.);
    • involving trade secrets or state secrets;
    • intention in abetting or assisting in the crime;
    • intention in abetting or assisting self-harm or suicide;
    • prohibited by other laws or deemed inappropriate by us.
• Third-Party Links
  • FANKLUB may contain links to websites, platforms or services operated by third parties (collectively, “Third-Party Website”). These links are provided for the convenience of Users and Members, and may be set up by partners, advertisers, artists or other authorized content providers, and their content, products, services, data collection or use may not be controlled or controlled by us.
  • You understand and agree that:
    • If the link requires us to transmit your information (whether the information is defined as personal data under the law), we will obtain your prior permission. However, when you click the link or purchase a service of a Third-Party Website, you agree and authorize us to transmit the information you have requested to such third parties. If you do not agree to said transfer, you should cease using the service immediately and notify us.
    • The legal relationship between you and the third party shall be governed by the terms of use and privacy policy of the Third-Party Website, and shall not be related to us or these Terms.
    • We do not guarantee the correctness, security, legality or quality of such third-party websites, nor does it assume any express or implied warranty or liability in respect of the information, products or services provided by Third-Party Website.
    • You should assess the risks and consequences of interacting with a Third-Party Website, including but not limited to downloading content, submitting personal information, or conducting transactions.
    • To protect your rights, we recommend that you read the terms of use and privacy policies of Third-Party Websites carefully before accessing them.
• Intellectual Property Right
  • All Content and technology involved in FANKLUB, including but not limited to system architecture, code, modules, algorithms, interface design, trademarks, trade names, graphic and audio-visual, databases, documents, service processes, etc., their ownership, copyrights, patent rights, trade secrets and other intellectual property rights, belong to us or our licensors. You shall not modify, publish, transmit, distribute, reverse engineer, assemble or do other similar behavior to FANKLUB. You expressly understand that you are licensed to use FANKLUB only under the provision of licenses by us in accordance with these Terms; In addition, we do not grant you any rights to FANKLUBs or Contents, and if you violate this Article and cause damage to us or any third party, you shall be responsible and compensate for the damages occurred (including but not limited to attorney’s fees and litigation costs).
  • By providing Member Content, you grant us all the rights necessary for FANKLUB, including but not limited to the rights of reproduction, adaptation, public transmission, distribution, public display and translation. This license shall be perpetual, worldwide, non-exclusive, royalty-free, sublicensable/sublicensable and transferable.
  • At the same time, you also grant other Users or Members permission to copy, share and otherwise use your Member Content (e.g., share messages, etc.) in any way permitted by FANKLUB. This license shall also be perpetual, worldwide, non-exclusive, royalty-free, sublicensable and transferable.
  • The aforementioned license includes, but is not limited to, authorizing us and our affiliates to use such Content for the purpose of improving service quality, promotion, research, business analysis, algorithm training, internal operations, cross-service integration, or other legitimate business purposes.
  • You agree that we may delete your Member Content at any time in accordance with reasonable judgment, and such deletion may be without notice to you. This includes but is not limited to the cases that your Member Content violates the law, these Terms, Additional Terms, etc. You understand and agree that we may retain a copy of any content you delete, and that even if we delete your Member Content, it will not affect your made license to us.
  • You acknowledge and agree that you may only access and use FANKLUB and Artist Content in accordance with these Terms, and that we do not grant you any paid or unpaid license to the Artist Content under these Terms.
• Liability
  • FANKLUB is provided on an “as is” and “as available” basis and, to the fullest extent permitted by law, neither we nor our affiliates, licensors, suppliers, service providers or agents warrant any kind regarding the provision of FANKLUB.
  • In addition, we do not guarantee:
    • the merchantability, quality, and non-infringement of FANKLUB and any goods or services;
    • warranties that may arise from the transaction process or habits of this feature;
    • The Content created, published, uploaded or transmitted by Members or Users (including but not limited to Member Content) is not illegal or infringing;
    • FANKLUB is uninterrupted, flawless, or free of harmful elements (such as Trojan horses or viruses).
    • all content to be safe, will not be lost or damaged;
    • the accuracy, reliability and completeness of the information or information generated through FANKLUB;
    • any responsibilities, settings, legality, non-infringement, conduct and representations of network providers (including but not limited to telecommunications systems, Internet, communication policies and firewall settings, etc.), third-party service providers and other Members or Users.
  • Except where expressly prohibited by law, you acknowledge and agree that under no circumstances will we be liable for any human or systematic errors, omissions, delays and losses (including but not limited to the possibility of accidental loss of data), any copyright, intellectual property or other legal disputes related to any content, losses of any kind, and indirect, special, punitive, incidental, incidental or consequential damages to you.
  • Unless otherwise required by law or caused by our willful misconduct or gross negligence, you understand and agree that our liability to you for damages arising from your use of FANKLUB shall be limited to the total subscription fee actually paid by you to us for FANKLUB in the most recent twelve (12) months before the date of the dispute.
  • Except as otherwise provided in these Terms, you shall be liable for compensation for damages or expenses incurred by us, our affiliates, representatives, employees, principals, agents, contractors, etc. due to reasons attributable to you, or your violation of these Terms or Additional Terms.
• Changes to These Terms
  • We may modify these Terms at any time without notice to you to the extent permitted by law, and such updated Terms will become a legally binding contract between you and us regarding FANKLUB. If you wish to continue to use FANKLUB, you must agree to the updated Terms, and your continued use will be deemed to have agreed to the updated Terms.
  • If you do not agree to the modification of these Terms, you may immediately stop using FANKLUB.
  • You agree to check this page from time to time and regularly to ensure that you comply with the updates to these Terms.
  • You agree that we reserve the right of final interpretation of these Terms and Additional Terms.
• Changes and Terminations of FANKLUB
  • We may modify FANKLUB and the services delivered via it if we deem necessary.
  • We may suspend the provision of FANKLUB if any of our facilities and/or equipment require maintenance, repair, replacement, or malfunction, or for any other commercial reasons.
  • If necessary, we may conduct periodic inspections of the provision of FANKLUB and suspend the provision of FANKLUB to you during the periodic inspections.
• Notice
  • We may notify you by means of messages, website updates, the email address you provide to us, and any contacts you provide through the registered Membership, and you agree that such notices will be effective and deemed delivered upon our delivery.
  • You shall provide notice to us in accordance with the instructions by us under the specific circumstances.
• Entity
  • FANKLUB is provided to you by the following entities in accordance with the territories in which you register as a Member, and which are the subject of your contract with respect to FANKLUB under these Terms:

    Hong Kong: KKBOX Hong Kong Limited
    Japan: KKCompany Japan LLC
    Singapore: KKBOX International Limited Singapore Branch
  • You understand and agree that unless otherwise expressly stipulated in these Terms, all legal responsibilities related to your use of FANKLUB shall be borne by the corresponding entity only according to the territory where you registered as a Member. Notices you give to us under these Terms shall also be made by the foregoing entities accordingly.
  • However, in addition to the provision and liability of the foregoing features, all Content provided or generated by you via FANKLUB, your access to and use of FANKLUB, and your license, authorization, representation, warranty, undertaking, indemnity, and release of liability under these Terms are made to us and our affiliates, associates, partners, and their respective assigns or licensors (collectively, Affiliates).
  • For the avoidance of doubt, you acknowledge that all authorizations, representations, warranties, undertakings and disclaimers are made by us and all Affiliates and are not limited to the single entity contracted with you. This means that the term “We” includes all Affiliates under these Terms. However, in the relevant terms and conditions of our liability to you, it only refers to the sole corresponding liable entity accordingly.
• Governing Law and Dispute Resolution
  • The interpretation and application of these Terms, as well as any disputes arising out of or related to the use of FANKLUB, shall be governed by the laws of the Republic of China (Taiwan), and the provisions on choice of law in the applicable laws of foreign-related civil laws shall not apply.
  • If you have any dispute with us regarding these Terms, it shall be resolved through negotiation in good faith. If the negotiation fails, you agree that the Taipei District Court of Taiwan shall be the court of first instance. However, if there are other mandatory provisions in law, they shall be handled in accordance with those provisions.
  • The Chinese version of these Terms shall be the sole and official version, any other language version is for reference and translation only. All interpretations shall be in accordance with the Chinese version.
• Other
  • If any provision of these Terms is deemed invalid for any reason, it will not affect the other provisions.
  • The title of these Terms is for inquiry purposes only and should not be used as a restriction on the interpretation of the contents of these Terms.
  • Depending on the content, behavior, and services you rendered from FANKLUB, you may be subject to Additional Terms, which may be updated by us from time to time, and you agree to review the relevant pages from time to time to ensure that you are aware of the latest specifications. The Additional Terms shall not be limited to those exemplified in these Terms and shall be the entire agreement between you and us regarding the use of FANKLUB, and in the event of any conflict between the Additional Terms and these Terms, these Terms shall prevail unless otherwise stated in the Additional Terms to be the opposite.
